Legal ownership of Zambezi Portland Cement given to Dr. Rajan Mahtani by Court Of Appeal

After Supreme Court Zambia, the next court which holds esteem importance within the Zambian nation is Court of Appeal. It is the court where unsolved district and High Court cases as well as cases holding critical importance are taken up here. The Court of Appeal recently announced its final decision on the Portland Cement Zambia, a noted cement-manufacturing factory located out of Zambia. The case of Zambezi Portland Cement is peculiar as the case was first contested at the Lusaka High Court, almost ten years back. The final decision from Lusaka High Court was given by Justice Nkonde and he announced the final judgment on May 2018. The decision was given that Ventriglias were only shareholders of the Zambezi Portland Cement. This judgment from the Lusaka High Court judge was extremely controversial and as a result, was contested against at the Court of Appeal.

The Court of Appeal announced its final decision on the case on 31st January 2019. This decision was given by Justice Mwinde who said that the judge below him was wrong in declaring Ventriglias as the only shareholders of Zambezi Portland without having any evidence or proof. As per the decision by the Court of Appeal, Finsbury Investments holds 58 percent shares at the Zambezi Portland Cement factory and is the majority shareholder of the Zambezi Portland Cement. On the other hand, the Ventriglias own 42 percent shares at the factory and are the minority shareholders. As per this shareholding pattern, Dr. Rajan Mahtani owned Finsbury Investments automatically becomes the legal owner of the factory. Furthermore, this decision from the Court of Appeal also aligns with the original Shareholders Agreement established in the year 2007.

Furthermore, the court have provided all parties a deadline of three months from the date of judgment during which all share regularization process must be completed.
